SERVICE TERMS

1. Overview

These Terms of Service (“Terms”) govern your use of the Private Drivers Incorporated (“PDI”) app and website. By using the app, you agree to these Terms.

If you do not agree, do not use the platform.

2. What PDI Is (and Is Not)

PDI is:

• a networking directory for drivers and transportation operators

• a CRM tool for managing your own business

• a platform where users may connect with each other for affiliate work or trip coverage

PDI is not:

• a transportation company

• a dispatcher

• a broker

• an insurer

• a verifier of the accuracy or validity of any documents uploaded by users

PDI does not guarantee:

• the quality or performance of any user

• the insurance status of any driver

• availability of trips

• accuracy of information posted by users

• outcomes of any affiliate partnerships formed through the platform

You use the platform entirely at your own risk.

3. Account Requirements

You must be:

• at least 18 years old

• legally able to enter into business agreements

You are responsible for:

• maintaining the confidentiality of your login

• accuracy of information you post

• compliance with all licensing and insurance laws applicable to you

4. Networking Directory & Affiliate Connections

When you mark parts of your profile as public, other users may contact you.

By using the networking features, you acknowledge and agree that:

• PDI does not verify users

• PDI does not vet or screen drivers or companies

• PDI is not responsible for any communication or agreement between users

• Users may misrepresent themselves, and you accept this risk, and responsibility to do your due diligence

You are solely responsible for verifying another user before working with them.

5. User-Generated Content

You may upload:

• Photos

• Insurance cards

• Vehicle information

• Contact details

• Booking information

By uploading content, you represent that:

• You own the rights to the content

• The content is accurate

• The content does not violate any laws

• The content does not infringe on anyone else’s rights

We may remove content that violates these Terms.

6. Subscriptions & Payments

• CRM features require payment through a Stripe Pay Link outside the app

• Networking directory is free

• All payments are final unless otherwise required by law

• You agree not to file chargebacks for services delivered

7. Data Handling

Data collected through the app is governed by the Privacy Policy.

You consent to:

• Storage of your profile data

• Storage of booking/trip data

• Display of public profile fields to other users

8. Prohibited Conduct

You agree not to:

• Upload false insurance documents

• Misrepresent your licensing status

• Harass other users

• Scrape or harvest user data

• Use the platform to violate local, state, or federal laws

Violations may result in suspension or termination.

9. Disclaimers & Liability Limits

A. No Warranties

The platform is provided “AS IS” and “AS AVAILABLE.”
We make no warranties, express or implied, regarding:

• accuracy of user data

• quality of networking connections

• insurance validity

• availability

• fitness for a particular purpose

B. Not a Transportation Provider

PDI does not provide transportation services.
All transportation-related agreements are strictly between users.

C. No Responsibility for User Interactions

You agree that PDI is not responsible for:

• any interactions between users

• disputes

• injuries

• losses

• accidents

• fraud

• travel disruptions

• affiliate disagreements

• results of relying on information in user profiles
  
  

D. Maximum Liability

To the fullest extent permitted by law:

PDI’s total liability is limited to the amount you paid us in the previous 12 months.

If you use the app for free, liability is zero.

10. Indemnification

You agree to indemnify and hold harmless PDI and its operator (Jeff Hronchek) from any claims arising from:

• your actions

• your uploads

• your violation of laws

• your disputes with other users

• misuse of user data

• your transportation services

11. Mandatory Arbitration & Class Action Waiver

A. Summary (Plain English)

If you have a dispute with PDI, you agree to resolve it through binding arbitration, not in court.
You also agree not to bring or join class-action lawsuits.

This protects both sides from long, costly litigation.

B. Legally Binding Terms

You and PDI agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or your use of the platform shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.

• Arbitration will take place in Tennessee.

• You agree not to participate in a class action, class arbitration, or similar group proceeding.

• Each party is responsible for its own legal fees.

• The arbitrator’s decision is final and enforceable.

12. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.

13. Termination

We may suspend or terminate your access for:

• violating these Terms

• posting false documents

• abuse or harassment

• illegal activity

• data misuse

You may terminate your account at any time.

14. Changes to These Terms

We may update these Terms occasionally.
Continued use of the platform means you accept the updated Terms.

DOCUMENT UPLOAD CONSENT

When uploading documents (insurance, vehicle info, photos), you agree that:

• You have the right to upload the content

• The documents may be visible to other users depending on your profile settings

• PDI does not verify the accuracy of uploaded documents

• You are solely responsible for keeping your information current and accurate
